Story, Names, Image, Video, and Likeness Release Agreement

For valuable consideration received and acknowledged the undersigned (“Subject”) irrevocably grants to Constant Companion, LLC, (“Owner”) the right to distribute, transmit, publish, copy, or otherwise develop, in whole or in part, digitally or in any other medium now known or later discovered, the stories written, names and photographs provided (the "Stories/Photographs/Likeness"). Subject understands there will be no financial compensation for the use of Stories/Photographs/Likeness.

Release. Subject agrees that the Stories/Photographs/Likeness may be used with or without identifying Subject as their subject or further compensation. Subject releases and discharges Owner and its agents, representatives, and assignees from any claim or cause of action, now known or later discovered, for, among other things, invasion of privacy, right of publicity, false light, copyright or trademark infringement, and defamation arising out of the use of the Stories/Photographs/Likeness. Subject agrees not to contest the rights or authority granted to Company in this agreement.

Assignment & Amendment. Owner may assign this Agreement and its rights and duties arising pursuant to it without the consent of Subject. This Agreement may be amended only by the written agreement by the parties hereto. This agreement or any section thereof shall not be construed against any party due to the fact that the agreement or any section thereof was drafted by one party.

Further Action. The parties hereto will execute and deliver all documents, provide all information and take or forbear from all such action as may be necessary or appropriate to achieve the purposes of the agreement.
Counterparts. This Agreement may be executed in several counterparts and all so executed shall constitute one agreement, binding on all the parties hereto even though all the parties are not signatories to the original or the same counterpart.

Governing Law. This Agreement shall be governed by and construed in accordance with the internal laws of the State of Florida without reference to its principles, conflicts of law, and the parties irrevocably and exclusively submit to the jurisdiction and venue of any federal or state court for Sarasota County, Florida, having competent jurisdiction. Any dispute must be adjudicated in arbitration.

Parties in Interest. Nothing herein shall be construed to be to the benefit of any third party, nor is it intended that any provision shall be for the benefit of any third party other than an assignor of Owner’s rights.
Savings Clause. If any provision of this Agreement, or the application of such provision to any person or circumstance, shall be held invalid, the remainder of this Agreement, or the application of such provision to persons or circumstances other than those as to which it is held invalid, shall not be affected thereby.
